Fairfax Launches C$400 Million Senior Notes Offering

Fairfax Financial Holdings Limited ("Fairfax") (TSX:FFH)(TSX:FFH.U) announces that it intends to offer C$400 million in aggregate principal amount of Senior Notes due 2023 (the "Offering") to be priced at $99.431 per $100 principal amount. The

Senior Notes will be offered through a syndicate of dealers to be led by RBC Dominion Securities Inc. and BMO Nesbitt Burns Inc. and includes CIBC World Markets Inc., National Bank Financial Inc., Scotia Capital Inc., TD Securities Inc., Cormark Securities Inc., Desjardins Securities Inc., Canaccord Genuity Corp., Citigroup Global Markets Canada Inc., GMP Securities L.P. and Merrill Lynch Canada Inc. The Senior Notes will be unsecured obligations of Fairfax and will pay a fixed rate of interest of 4.50% per annum.

Fairfax intends to use the net proceeds of the Offering to augment its cash position, to pursue potential acquisition opportunities, to increase short-term investments and marketable securities held at the holding company level, to refinance or retire outstanding debt and other corporate obligations of Fairfax and its subsidiaries from time to time and/or for general corporate purposes.

Fairfax intends to file a prospectus supplement to its short form base shelf prospectus dated September 14, 2015 in respect of the Offering with the applicable Canadian securities regulatory authorities.
