FCD Announces 5th Annual Directors' Institute, Nov. 12-13, Offering Governance Education, Critical Issue Updates

NEWPORT BEACH, CA--(Marketwire - October 21, 2008) - The Forum for Corporate Directors (FCD), a leading Southern California resource for achieving corporate board excellence and good governance, announced today that its fifth annual Directors' Institute educational symposium will be held Nov. 12-13, at the Costa Mesa Hilton.

Titled "Leading the way through a changing governance landscape," the two half-day programs will cover the latest in corporate governance issues and provide updates on best practices for directors and executive management from public and private companies in Orange County and Southern California at large.

The four-part educational program is designed to provide the highest level of educational excellence while making the most efficient use of people's time. The four primary sessions will be held over two days -- from 12:30 to 5:00 p.m. on Wednesday, Nov. 12, and from 7:30 to 11:30 a.m. on Thursday, Nov. 13.

All attendees are welcome at the annual Directors' Institute dinner on Wednesday, Nov. 12, from 6:00 to 9:00 p.m. The keynote speaker for this year's dinner is Sharon Allen, chairman of Deloitte & Touche USA LLP, who is on Forbes magazine's Top 100 List of the World's Most Powerful Women. She will share her insights on the current state of corporate governance.

"This year's Directors' Institute will feature intensive sessions on governance, risk and compliance (GRC); on audit committee issues on the horizon; on shareholder communication and activism; and on growth strategies that include M&A, strategic planning and developing new markets," said John Rehfeld, FCD chairman. "Each session will feature a brief topic introduction followed by extensive discussion by panels of experts in each subject area."

Panelists this year include top local and national experts including Barbara Alexander, director at Qualcomm; Annalisa Barrett, vice president of The Corporate Library; Scott Mitchell, chairman and CEO of OCEG; Ken Bradley, president of Lytica, Inc.; Carl Neun of Powerwave Technologies; Mike Rockenbach, chief financial officer of Emulex; Dean Yoost, director at Union Bank; Woodrow Anderson, assurance partner at PricewaterhouseCoopers; John Della Grotta, partner, Paul, Hastings Janofsky & Walker; Michael McConnell, managing director of Shamrock Capital Advisors; Donald Tringali, vice chair at National Technical Systems; Ed Merino, CEO and founder of Office of the Chairman; Larry Stambaugh, former chairman and CEO of Maxim Pharmaceuticals; Scott Flanders, president and CEO, Freedom Communications; and Bala Iyer, director, QLogic Corporation.

"As always, attendance for these educational sessions is limited so that audience participation can be maximized," Rehfeld added. "The Directors' Institute fulfills 100% of the eight-hour biannual director education requirement for ISS and qualifies for CPE credit as well."

The FCD member price for the Directors' Institute is $395 per person ($495 for non-members), including the keynote dinner. FCD members wishing to attend the dinner only may do so at no charge, but must register in advance to reserve a seat. The dinner is open to the public and non-members may attend for $90 per person. All activities will be held at the Costa Mesa Hilton (at 3050 Bristol Street), near South Coast Plaza. "We thank our sponsors for their generous support of this event," Rehfeld concluded. "They include FCD Legacy Sponsor PricewaterhouseCoopers and FCD Sustaining Sponsor Manatt, for the Directors' Institute, and FCD Founding Sponsor Stradling Yocca Carlson & Rauth, for the dinner."
