FCD Breakfast Features UC Berkeley Prof. Jesse Fried Speaking on Equity-Based Compensation for Executives

NEWPORT BEACH, CA--(Marketwire - October 14, 2008) - The Forum for Corporate Directors (FCD), a leading Southern California resource for achieving corporate board excellence and good governance, announced today that Prof. Jesse Fried of the University of California, Berkeley, will address its Oct. 29th breakfast meeting on the subject of equity-based compensation arrangements for public companies.

Prof. Fried, a professor of law at UC Berkeley and co-director of the Berkeley Center for Law, Business and the Economy, is author of the critically-acclaimed book "Pay Without Performance: The Unfulfilled Promise of Executive Compensation."

"Executive compensation is one of today's hottest topics and given the attention it's receiving in today's economic crisis, this is a must-attend meeting for FCD members and any corporate executives and directors who need to know how best to deal with it," said John Rehfeld, FCD chairman. "Citing research gathered for his critically-acclaimed book, Professor Fried will discuss problems with equity-based compensation and suggest how boards of directors seeking to improve executive incentives and increase long-term shareholder value can better structure these arrangements.
