FCD to Release 2007 Survey of Orange & San Diego County Directors at Inaugural Governance Outlook Event at Bowers Museum on July 25

Newport Beach, CA--(Marketwire - July 18, 2007) - The Forum for Corporate Directors (FCD), a leading Southern California resource for achieving corporate board excellence and good governance, has announced it will release its 2007 Director Survey and Proxy Statement Report at the organization's inaugural Governance Outlook event, to be held on July 25, 2007.

The FCD survey is conducted every two years and provides detailed new information on several aspects of board practices. In cooperation with the Corporate Directors Forum of San Diego, FCD this year surveyed directors representing nearly 400 companies in Orange and San Diego counties on their board practices in an ever-changing governance environment. In addition, this year's document includes a unique review of proxy data from current filings made by 63 area companies, researched and prepared by staff at The Corporate Library specifically for FCD.

"With increased scrutiny of directors and executive management, and new disclosures required by the SEC, directors in Southern California and across the country have questions about what constitutes best board practices," said John Rehfeld, Chairman of the FCD Board of Directors. "Directors often ask how their boards compare to other boards of similar size and circumstances. In 2005, we began benchmarking best board practices through our first director survey and this new report provides fresh insight into the activities of about 400 companies and their current practices.

"The proxy data review prepared for us by The Corporate Library is very helpful information that is being provided for the first time anywhere at a local level, and it should be valuable input for directors in Orange and San Diego counties," he added.

The 2007 survey provides new perspectives about:

-- How well boards perform and how their issues and challenges compare to
--  How the corporate governance environment has changed;
--  How boards ensure regulatory compliance for their companies;
-- How directors can support the CEO and management team in meeting
    corporate goals;
--  How boards integrate continuing education into their work schedules;
-- How boards are structured and how directors are recruited and

The new FCD Director Survey will be formally released at the July 25th Governance Outlook event. This exciting program features a keynote talk by Nell Minow, co-founder and editor of The Corporate Library, one of the country's leading governance research institutions. Ms. Minow will provide a high level view of the most important governance issues that public company boards will be facing over the coming year -- including topics such as shareholder say-on-pay votes; executive compensation; majority voting for directors; broker lending of shares for proxy voting; shareholder nominees on proxy ballots; and shareholders' rights to call special meetings.

The 2007 FCD Directors Survey and Proxy Statement Report will be provided free of charge to corporate and individual members of the Forum for Corporate Directors as an additional membership benefit. It will be available for purchase by non-members at a special price of $295.

The Governance Outlook event will be held from 4:30-7:00 p.m. on Wednesday, July 25, in the Kershaw Theater at The Bowers Museum (2002 North Main Street) in Santa Ana. FCD gratefully acknowledges its sponsors for this major event, which include KPMG, Manatt, Solomon & Solomon and Sunwest Bank.
