Freedom Acquisition Holdings, Inc. Prices 48.0 Million Units in Initial Public Offering

NEW YORK, NY -- (MARKET WIRE) -- December 22, 2006 -- Freedom Acquisition Holdings, Inc. (the "Company") announced today the pricing of its initial public offering of 48.0 million units at $10.00 per unit. Each unit consists of one share of common stock and one warrant to purchase an additional share of common stock. The Company expects to raise gross proceeds of approximately $480.0 million in this offering (excluding the proceeds from the exercise of the underwriters' over-allotment option, if any).

In addition, the Company's sponsors, Berggruen Holdings North America Ltd. and Marlin Equities II, LLC, have agreed to purchase in equal amounts an aggregate of (i) 4.5 million warrants at a price of $1.00 per warrant ($4.5 million in the aggregate) in a private placement that will occur immediately prior to the consummation of the offering and (ii) 5.0 million units at a price of $10.00 per unit ($50.0 million in the aggregate) in a private placement that will occur immediately prior to the Company's consummation of a business combination.

Initially, the units will be the only security trading. The Company's units are expected to begin trading on the American Stock Exchange (Amex) under the ticker symbol FRH.U on or about December 22, 2006. The common stock and warrants comprising the units will begin separate trading five business days (or as soon as practicable thereafter) following the earlier to occur of the expiration of the underwriters' over-allotment option or their exercise in full, subject to the Company's filing a Current Report on Form 8-K with the Securities and Exchange Commission containing an audited balance sheet reflecting its receipt of the gross proceeds of this offering and issuing a press release announcing when such separate trading will begin.

The lead underwriter for the offering is Citigroup Corporate and Investment Banking, with Ladenburg Thalmann & Co., Inc. acting as co-manager.

The Company intends to use the net proceeds from this offering to acquire one or more operating businesses through a merger, stock exchange, asset acquisition, reorganization or similar business combination as described in the prospectus.
