FRV Media Completes Second Tranche of Shareholder Financing to Support the Company's Growth

MONTREAL, QUEBEC--(CCNMatthews - Nov. 27, 2006) - FRV MEDIA ("FRV" or the "Company") (TSX Venture:FRV) announced today that it has completed a second tranche of a convertible debenture financing in an amount of $300,000. The proceeds will be used to finance the Company's development.

Caisse de depot et placement du Quebec and the Fonds d'investissement de la culture et des communications each subscribed $150,000 for a total of $300,000 in new convertible debentures. The debentures bear interest at a rate of 10% per year, payable monthly, and will mature on March 31, 2010. The debentures are convertible at the holder's option at any time prior to maturity into Class A shares at a price of $0.40 per share. Unless permitted under securities legislation, the holder must not trade the security before March 27, 2007.

This $300,000 constitutes the second tranche of a private placement. A first tranche in an amount of $350,000 was completed on June 16, 2006.
