Fulton Financial Announces Launch of Subordinated Notes Offering

LANCASTER, PA--(Marketwired - Jun 8, 2015) - Fulton Financial Corporation (NASDAQ: FULT) today announced that, subject to market and other conditions, it plans to offer $150 million of its 4.50% Subordinated Notes due 2024 (CUSIP No. 360271 AJ9) (the "Subordinated Notes"), in a reopening of the existing series of such notes, in an underwritten public offering. The Subordinated Notes, which will not be redeemable prior to their maturity, are intended to qualify as Tier 2 capital for regulatory purposes.

Sandler O'Neill + Partners, L.P. and Keefe, Bruyette & Woods, Inc. are acting as the joint book-running managers for the offering.

Fulton Financial intends to use the net proceeds of this offering to fund the anticipated redemption of its 6.29% Junior Subordinated Deferrable Interest Debt Securities due 2036 (the "Junior Subordinated Debentures") in accordance with their terms, subject to the successful consummation of this offering. The consummation of this offering is not conditioned upon, nor subject to, the redemption of the Junior Subordinated Debentures. The Fulton Financial Board of Directors has authorized the occurrence of such redemption, subject to completion of the offering and satisfaction of the conditions for redemption set forth in the indenture governing the Junior Subordinated Debentures, including, among other things, delivery by Fulton Financial of proper notice to the trustee of the Junior Subordinated Debentures and to the holders thereof. The redemption of the Junior Subordinated Debentures would result in the redemption of 100% of the outstanding 6.29% Capital Securities issued by Fulton Capital Trust I.
