GA Capital Corp. Announces Proposed Qualifying Transaction With Kimpar Resources Inc.

TORONTO, ONTARIO--(Marketwire - June 23, 2008) -

GA Capital Corp. (TSX VENTURE:GAC.P) (the "Corporation"), a Capital Pool Company, announced today that it has entered into a Letter of Intent, dated June 22, 2008, that serves as an agreement in principle concerning a proposed transaction (the "Transaction") between the Corporation and Kimpar Resources Inc. ("Kimpar"), which if completed, will be the Corporation's qualifying transaction pursuant to the policies of the TSX Venture Exchange Inc. ("Exchange"). Kimpar is a newly incorporated corporation under the Canada Business Corporations Act and its assets include mining claims. The Corporation expects to issue a comprehensive news release containing further information shortly.

Completion of the transaction is subject to a number of conditions, including but not limited to, Exchange acceptance and if applicable pursuant to Exchange Requirements, majority of the minority shareholder approval. Where applicable, the transaction cannot close until the required shareholder approval is obtained. There can be no assurance that the transaction will be completed as proposed or at all.
