GC-Global Capital Corp. Announces its Filing of a Preliminary Short Form Prospectus for a Public Offering of a Minimum of $2,000,000 and a Maximum of $5,000,000 of Units

TORONTO, ONTARIO--(CCNMatthews - Feb. 19, 2007) - GC-Global Capital Corp. ("Global Capital") (TSX VENTURE:GDE.A) is pleased to announce that is has filed a preliminary short form prospectus with the securities regulatory authorities in the provinces of Ontario, Quebec and British Columbia to initiate a public offering of a minimum of $2,000,000 and a maximum of $5,000,000 of units ("Units") at an offering price to the public of $1.15 per Unit. Each Unit is comprised of one subordinate voting share and one-half of one subordinate voting share warrant of the Company. Each whole warrant entitles the holder to purchase an additional subordinate voting share at a price of $1.50 per share at any time and from time to time for 18 months from the closing date. The agent for the financing is Laurentian Bank Securities Inc. Closing of the offering is anticipated to occur on or about March 9, 2007.

Net proceeds from the offering will be used to fund Global Capital's merchant banking activities.
