Georgeson Responds to Allegations from GrowthWorks

TORONTO, ONTARIO--(Marketwire - Aug. 20, 2011) - Georgeson Shareholder Communications Canada Inc. ("Georgeson") responds to the allegations made by GrowthWorks Funds in respect of Georgeson's proxy solicitation process underway on behalf of VenGrowth Funds. Georgeson denies that it has ever received any instructions from anyone connected to VenGrowth Funds, its affiliates, agents or Special Committee of its Board, to mislead or in any way coerce VenGrowth Shareholders in respect of any matter, including but not limited to the redemption process in respect of the proposed VenGrowth transaction. Any allegations by GrowthWorks to the contrary are unfounded and wholly baseless.

Upon learning that a few shareholders may have been unintentionally misinformed as to the redemption options in respect of the proposed VenGrowth transaction, Georgeson has promptly undertaken an investigation.

Based upon the results of that investigation to date, and Georgeson's 25 years of experience as a proxy solicitation agent in Canada, Georgeson believes that the situation is related to a small number of shareholders. Furthermore, Georgeson has undertaken immediate action to seek to confirm that all shareholders who were contacted by Georgeson are aware of the redemption options.

Georgeson specifically denies the entirely unfounded and baseless allegation by GrowthWorks that it has been inappropriately influenced by VenGrowth in any way.
