GHJ Capital Inc. Announces Proposed Qualifying Transaction

TORONTO, ONTARIO--(Marketwire - Dec. 22, 2008) - GHJ CAPITAL INC. (TSX VENTURE:GHJ.P)(the "Corporation"), a capital pool company, announced today that it has entered into a letter of intent concerning a proposed transaction (the "Transaction") between the Corporation and EM Technologies, Inc. ("EMT") which, if completed, will be the Corporation's qualifying transaction pursuant to the policies of the TSX Venture Exchange Inc. (the "Exchange").

EMT is a private company incorporated under the laws of Barbados with its registered office in Bridgetown, Barbados and customers in Brazil and the United States. EMT operates the xRM on-demand relationship management utility, a collection of specialized enabling technologies and best practices powering industry-specific software-as-a-service ("SaaS") relationship management applications, such as GrandesVendas, an application deployed with Brazilian users. Brazil has been a target market for EMT with customers in the financial, insurance, telecom, industrial and construction sectors. The Transaction will help EMT to expand into other jurisdictions.

The Corporation is working on finalizing a definitive agreement to acquire the outstanding shares of EMT and once it is finalized will issue a detailed press release regarding the Transaction which will satisfy the disclosure requirements of the Exchange. Trading in the common shares of the Corporation will remain halted pending the release of more fulsome disclosure regarding the Transaction and the satisfaction of the filing requirements of the Exchange.
