Given Imaging Announces Results of 2008 Annual Shareholders' Meeting

YOQNEAM, ISRAEL--(Marketwire - June 18, 2008) - Given Imaging Ltd. (NASDAQ: GIVN) (TELAVIV: GIVN) today announced the results of its annual shareholders' meeting which was held yesterday in Yoqneam, Israel. A total of 24,129,203 shares, or approximately 82.4% of the total number of shares entitled to vote at the meeting were represented, and all five proposed resolutions were approved.

The following resolutions were approved:

1.      Re-election of Israel Makov, Nachum (Homi) Shamir, Doron Birger,
        Arie Mientkavich, Dennert O. Ware and Prof. Anat Loewenstein as
        directors of the company until the next Annual General Meeting of
        Shareholders;

2.      Compensation of the President and Chief Executive Officer of the
        Company for 2008;

3.      Amendment of certain provisions of the Company's Articles of
        Association;

4.      Amendment of the Company's standard indemnification agreement with
        directors and officers; and

5.      Re-appointment of Somekh Chaikin, a member of KPMG International,
        as the Company's independent auditors until the Company's next
        Annual General Meeting of Shareholders and to authorize the
        Company's Audit Committee and Board of Directors to determine their
        remuneration.
