Global Capital Announces that it's Client Company, ESI Entertainment Systems Inc., has Completed a $10,000,200 Initial Public Offering

TORONTO, ONTARIO--(CCNMatthews - April 3, 2006) - GC-Global Capital Corp. ("Global") (TSX VENTURE:GDE.SV.A) is pleased to announce that its client company, ESI Entertainment Systems Inc. ("ESI") has completed an initial public offering of 3,333,400 common shares at $3.00 per share for gross proceeds of $10,000,200. The offering was conducted by a syndicate led by Desjardins Securities Inc., which included CIBC World Markets Inc., Canaccord Capital Corporation and GMP Securities LP. ESI's shares trade on the Toronto Stock Exchange under the symbol "ESY".

In January of 2006, Global provided a $1,000,000 secured bridge loan to ESI. With the closing of the initial public offering, Global's loan has been repaid the Company received 26,000 warrants exerciseable into common shares of ESI for 24 months at $3.00 per share.
