Gold Hawk Resources Inc.: $10 Million Financing Closed

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Aug. 16, 2007) -


Gold Hawk Resources Inc. ("Gold Hawk" or the "Company") (TSX VENTURE:CGK) is pleased to announce that it has closed its previously announced private placement for gross proceeds of $10,056,660.

The bought deal placement, with Octagon Capital Corporation as underwriter (the "Underwriter"), was originally comprised of 16,666,700 common shares, and an exercised 2,500,000 common share over-allotment option. Under mutual agreement, both the Company and Underwriter reduced the overall size of the placement to 16,761,100 Common Shares at a price of $0.60 per share ("the Offering").

The Company has paid the Underwriter a cash fee on closing of $703,966 equal to 7% of the gross proceeds from the Offering, and has issued them 1,508,499 broker warrants, equal to 9% of the number of Common Shares sold pursuant to the Offering. Each broker warrant shall entitle the Underwriter to purchase one Common Share of the Company at $0.60 per share, for a period of 24 months following today's closing date.

The securities issued by way of this placement will be subject to a four-month hold period.

Net proceeds of the Offering will be used to repay a US$3 Million Promissory Note (see Press Release dated July 31, 2007) and for expenditures relating to ongoing development of the Coricancha Mine and for the Company's exploration, development and general working capital purposes.
