Golden Share Amends Terms of Warrants

MONTREAL, QUEBEC--(Marketwire - Oct. 19, 2012) - Golden Share Mining Corporation ("Golden Share" or the "Company") (TSX VENTURE:GSH) announces that the Company has extended the term of an aggregate of 2,500,000 common share purchase warrants (each, a "Warrant") by another three years until October 25th 2015. Concomitantly, the Company has also reduced the exercise price of the Warrants to $0.10. If the closing price of the Company's shares exceeds $0.13 for a period of 10 consecutive trading days, the Warrant holders will have 30 days to exercise their Warrants (after which they will expire). All other terms and conditions remain constant.

These Warrants form part of a private placement which closed on October 25th 2010 and consisted of the issuance of 2,500,000 units at a price of $0.135 per unit. Each unit consisted of one common share in the capital of the Company and one Warrant. Each Warrant originally entitled the holder to purchase one common share at an exercise price of $0.175 on or before October 25, 2012. No Warrants have been exercised to date.

These modifications are subject to the approval of the Warrantholders and the TSX Venture Exchange.
