Golden Star Announces Pricing of US$75 million Common Share Offering

DENVER, COLORADO--(Marketwire - Dec. 4, 2009) - Golden Star Resources Ltd. ("Golden Star" or the "Company") (TSX:GSC)(NYSE Amex:GSS)(GSE:GSR) today announced that it has priced an offering (the "Offering") of 20,000,000 common shares at a price of US$3.75 per share for gross proceeds of US$75,000,000. The Company has granted the underwriters an option, exercisable for a period of 30 days following the closing of the Offering, to purchase up to 3,000,000 additional common shares at a price of US$3.75 per share for additional gross proceeds of US$11,250,000, to cover over-allotments, if any. This represents a 7.9% discount to the 5-day volume-weighted average price on the NYSE Amex. The Offering was sold by a syndicate of underwriters led by BMO Capital Markets and including Wellington West Capital Markets Inc. and Macquarie Capital Markets Canada Ltd.

The net proceeds of the Offering will be used to continue with committed capital projects, exploration activities and for general corporate purposes. The Offering is expected to close on or about December 17, 2009 and is subject to the Company receiving all necessary regulatory approvals, including the approval of the Toronto Stock Exchange and the NYSE Amex.
