Grid Petroleum Announces Company Purchase

DENVER, CO--(Marketwire - March 21, 2011) - Grid Petroleum Corp. (OTCBB: GRPR) (hereafter "Grid," "The Company") announced today that effective January 20, 2011, the company has acquired all of the existing issued and outstanding shares of Joaquin Basin Resources Inc, a Nevada corporation. 

Effective January 20, 2011, we entered into a Share Exchange Agreement with Joaquin Basin Resources Inc., a Nevada corporation and designated therein as the "Seller," and its stockholders designated therein as the "Selling Shareholders" (the "Agreement"). Pursuant to the provisions of the Agreement, we agreed to issue to the Selling Shareholders (i) 62,000,000 shares of our common stock and (ii) 2,076,324 shares of our convertible preferred stock, in exchange for the transfer and delivery to us by the Selling Shareholders of the 62,000,000 shares of common issued by the Seller, which are all of the issued and outstanding securities of the Seller. As result of the transaction contemplated by the Agreement, the Seller will become our wholly owned subsidiary.

JBRI currently has the mineral lease hold rights to approximately 4000 acres of oil and gas property in the prolific central California Joaquin Basin. The company is currently reviewing its options for the development of the property and the assessment of its full potential of estimated reserves and their valuations.

The company anticipates announcing further details of the property's potential as they become available. "This acquisition is a significant step in the change of the company's focus from a natural gas exploration company to an oil exploration company with the intent to acquire and produce oil from existing low risk leases," states company president James Powell. "The potential producible reserves represented by this acquisition are very significant. We expect to develop cash flowing assets from future development of the newly acquired leases obtained through the purchase of JBRI."
