The Grilled Cheese Truck Announces Planned Agreement to Team With the Original SoupMan

Iconic Brand Supports GCT's Brand Expansion Strategies

FORT LAUDERDALE, FL--(Marketwired - August 13, 2015) - The Grilled Cheese Truck, Inc. (OTCQB: GRLD), an emerging growth public company capitalizing on opportunities within the burgeoning gourmet food truck sector, announced today the company has agreed to acquire the Master Franchise Rights from SoupMan, Inc. (OTCQB: SOUP), the parent company for the Original SoupMan® soups, subject to New York State approval. The announcement was made jointly by Robert Lee, Executive Chairman of The Grilled Cheese Truck and Jamieson Karson, Chairman and CEO of SoupMan.

The acquisition of these rights cannot be completed until New York State approval has been secured which is anticipated within the next thirty days.

The agreement to acquire the rights by The Grilled Cheese Truck is part of a strategy being executed by GCT to seek multiple brands that complement the Company's grilled cheese products pursuant to a consolidation business model.

The parties have negotiated The Grilled Cheese Truck purchasing Original SoupMan products directly from SoupMan at traditional wholesale costs and receive 25% of the franchise fees and ongoing royalties collected from Original SoupMan operators by The Grilled Cheese Truck. Subject to New York State approval the Agreement will be for a term of 10 years with a renewal that can extend to fifty years and covers North America. The Master Franchise Agreement will be effective after New York State approval.
