GuestLogix Completes Acquisition of Dublin-Based Travel Technology Firm OpenJaw Technologies Limited

Company Officially Welcomes OpenJaw and its t-Retail Platform to Create the Industry's First End-to-End Ancillary Revenue and Retailing Platform

TORONTO, ONTARIO--(Marketwired - Dec. 23, 2014) - GuestLogix Inc. (TSX:GXI), a leading global provider of ancillary-focused merchandising, payment and business intelligence technology to airlines and the passenger travel industry, today announced it has completed its acquisition of OpenJaw Technologies Limited, which is now a unique division of GuestLogix. The two entities entered a definitive agreement on December 2, 2014, under which the Company would acquire OpenJaw for a combination of cash and shares issued to the vendors for a total transaction value of US$41.2 million, plus performance considerations and adjustments for OpenJaw's cash balance. The completion of the acquisition successfully broadens GuestLogix' capabilities, as well as provides immediate expansion into new travel verticals.
