Harrington Global Limited Acquires Securities of Atacama Pacific Gold Corporation


TORONTO, ONTARIO--(Marketwired - June 10, 2015) - Harrington Global Limited ("Harrington") announced that it, on behalf of Harrington Global Opportunities Fund S.à.r.l. (the "Fund"), which it manages and advises, has participated in a non-brokered private placement of units ("Units") of Atacama Pacific Gold Corporation ("Atacama") today and acquired an aggregate of 6,150,000 Units at a price of $0.20 per Unit (the "Acquisition"). Each Unit consists of one common share ("Common Share") and one-half common share purchase warrant ("Warrant") of Atacama. Each Warrant entitles the holder thereof to purchase one Common Share at a price of $0.25 per Common Share at any time on or before June 9, 2018.

Prior to the Acquisition, the Fund owned 4,390,767 Common Shares. As a result of the Acquisition, the Fund beneficially owns, and Harrington exercises control and direction over, an aggregate of 10,540,767 Common Shares and 3,075,000 Warrants, representing approximately 19.98% of the outstanding Common Shares, calculated on a partially diluted basis based on the number of outstanding Common Shares of 65,074,910 as provided by Atacama.

The securities of Atacama were acquired in the ordinary course of business, for investment purposes only. Depending on market conditions and other factors, Harrington, on behalf of the Fund, may from time to time acquire additional securities of Atacama, or continue to hold or dispose of some or all of the securities of Atacama in the open market, by private agreement or otherwise.
