Hartco Income Fund Obtains Interim Order in Connection With Proposed Conversion to Corporation

Special Meeting of Unitholders to be held on April 14, 2009

MONTREAL, QUEBEC--(Marketwire - March 6, 2009) - Hartco Income Fund (TSX:HCI.UN) ("Hartco") announces that the Quebec Superior Court today issued an interim order in connection with Hartco's previously-announced plan of arrangement, which will result in the conversion of Hartco from an income fund to a corporation (the "Reorganization"). The interim order of the Court confirmed the calling of a special meeting of unitholders of the Fund for the purpose of considering the Reorganization.

The meeting will be held in Montreal on April 14, 2009. A management proxy circular of the Fund will be mailed to unitholders of the Fund shortly. A copy of the circular will also be available under the Fund's profile on SEDAR at www.sedar.com.

The Reorganization is subject to receipt of all required court and regulatory approvals and approval by at least 66 2/3% of the votes cast by unitholders of the Fund.

The interim order provides that should the Reorganization be approved by the required majority, the Fund will appear before the Court in order to obtain a final order at 9:00 a.m. on April 15, 2009, in Room 16.12 of the Palais de Justice, 1 Notre-Dame Street East, Montreal, Quebec. A notice of presentation of the final order will be annexed as a schedule to the management proxy circular.

The interim order of the Superior Court also confirmed the calling of a special meeting of shareholders of Hartco Investments Inc., an affiliated corporation, for the purpose of considering the Reorganization. The special meeting will also be held in Montreal on April 14, 2009. The Reorganization is subject to approval by at least 66 2/3% of the votes cast by shareholders of Hartco Investments Inc., other than affiliates of the Fund.
