Hartco Income Fund Unitholders Approve Conversion to Hartco Inc.

MONTREAL, QUEBEC--(Marketwire - April 14, 2009) - Hartco Income Fund (the "Fund") (TSX:HCI.UN) -

- Motion for Final Order to be Heard by Court on April 15, 2009

- Shares of Hartco Inc. expected to commence trading on April 20, 2009

Hartco Income Fund (the "Fund") (TSX:HCI.UN) announces that unitholders of the Fund and shareholders of Hartco Investments Inc., an affiliated corporation, today adopted special resolutions approving the previously-announced Plan of Arrangement involving the Fund, Hartco Inc., Hartco Investments Inc. and Hartco Operating Trust. The Plan of Arrangement will have the effect of converting the Fund into Hartco Inc.

The special resolution of unitholders of the Fund was adopted by a vote of 99.6% while the special resolution of shareholders of Hartco Investments Inc. was adopted by a vote of 100%.

As set out in the Fund's management proxy circular dated March 9, 2009, the Fund will apply to the Quebec Superior Court on Wednesday, April 15, 2009 for a final order with respect to the Plan of Arrangement. If the final order is granted by the Court, it is expected that the Plan of Arrangement will take effect on April 15, 2009. It is also expected that the common shares of Hartco Inc. will commence trading on the Toronto Stock Exchange on Monday, April 20, 2009 under the stock symbol "HCI", at which time the trust units of Hartco Income Fund will be delisted from the TSX.
