IDM Mining Announces Private Placement

VANCOUVER, BRITISH COLUMBIA--(Marketwired - April 7, 2016) -


IDM Mining Ltd. (TSX VENTURE:IDM) ("IDM" or the "Company") is pleased to announce a placement financing (the "Offering") to sell flow-through units ("Flow-Through Units") at a price of $0.11 per Flow-Through Unit and non-flow-through units ("Common Units" and, together with Flow-Through Units, "Units") at a price of $0.09 per Common Unit, for aggregate gross proceeds of up to $4.0 million in Flow Through Units and $3.5 million in Common Units. A portion of the Offering will be brokered through a syndicate led by Red Cloud Klondike Strike Inc. and including Haywood Securities Inc. and Medalist Capital Ltd.

Each Common Unit will consist of one common share of the Company (a "Common Share") and one-half of one non-transferable share purchase warrant (each whole share purchase warrant, a "Warrant"), with each Warrant entitling the holder thereof to acquire one Common Share at a price of $0.15 per Common Share for a period of twenty-four (24) months following the closing of the Offering.

Each Flow-Through Unit will consist of one flow-through common share and one-half of one Warrant, with each Warrant entitling the holder thereof to acquire one non flow-through Common Share in the capital of the Company at a price of $0.15 per Common Share for a period of twenty-four (24) months following the closing of the Offering.

The Company will pay to the brokers and certain finders a cash fee equal to 7% of the gross proceeds raised from the sale of applicable Units and warrants equal to 7% of the number of applicable Units. Each such warrant will entitle the holder to purchase one Common Share at a price of $0.15 for a period of twelve months following the closing of the Offering.

The Company intends to use the net proceeds of the Offering for the following:

  • a 5,000 meter underground core drilling program to expand and upgrade the high grade underground gold resource at the Red Mountain Project (the "Project"), located near Stewart, BC.
  • advance the permitting, field studies and environmental assessment of the Project with the goal of submitting a Project Application report to the BC Environmental Assessment Office (BCEAO) and the Canadian Environmental Assessment Agency (CEAA) in Q4 of 2016. This would potentially allow for a project approval to be secured in 2017.
  • completion of engineering, field studies and a Feasibility Study on the Project, and
  • general working capital purposes.

The objective of these programs is for the Company to be in a position to make a Final Investment Decision on the Red Mountain Project in 2017.

Closing of the Offering is subject to receipt of applicable regulatory approvals including approval of the TSX Venture Exchange. The securities issued will be subject to a standard four month hold period. The number of Common Units and Flow-Through Units sold in the Offering may be reallocated by the Company. A maximum of 83,333,333 Units are issuable under the Offering, which assumes that the maximum gross proceeds are raised through the issuance of Common Units only.
