Inphi Grants Restricted Stock Units as Employment Inducement Awards to Certain Cortina Systems Employees

SANTA CLARA, CA--(Marketwired - Oct 17, 2014) - Inphi Corporation (NYSE: IPHI), a leading provider of high-speed, mixed signal semiconductor solutions for the communications, data center and computing markets, today announced that in connection with the acquisition of Cortina Systems, Inc., which was completed on October 6, 2014, it has granted one-time employment restricted stock unit (RSU) awards of approximately 1,000,000 shares to certain Cortina employees.

The RSUs were granted by the Compensation Committee of Inphi's Board of Directors on October 16, 2014, to approximately 140 new employees from Cortina Systems and are subject to Inphi's standard four-year vesting requirements and obligations. These employment inducement awards are for employees entering into employment with the company in accordance with NYSE Rule 303A.08 and were thereby granted outside of Inphi's 2010 Stock Option Plan.
