Intention to withdraw from PLUS

                                       Withdrawal from PLUS Stock Exchange


St Helen's Private Equity Plc the Pre-IPO, Special Situations and 'Small cap' investment company announces its
intention to withdraw from PLUS Market on 7 May 2012.

The  Directors believe the benefits to shareholders of the PLUS market quote are now substantially outweighed  by
the significant cost savings which can be made by withdrawing the shares from PLUS. They have identified that the
costs  associated with the PLUS market quote represent a significant amount of the Company's current annual  cost
base, and the level of trading in the Company's shares in the last few years has been very low. For these reasons
it has been decided that it is in the best interest of the Company to withdraw its shares from PLUS.

The  directors will continue to keep shareholders informed of the progress of the business and post announcements
on the company's website www.sthelensprivateequity.co.uk

Under  PLUS market rules, the company is required to give shareholders a period of 10 business days to object  to
the  intended withdrawal of its securities from the PLUS markets facility. Any shareholder wishing  to  raise  an
objection should contact PLUS in confidence by 7 May 2012.

The Directors accept the responsibility for this announcement.
