Island Breeze International, Inc. Enters Into Equity Financing Agreement

MIAMI, FL--(Marketwire - January 27, 2010) - Island Breeze International, Inc. (OTCBB: IBII), an entertainment cruise development company, announced that it has entered into an equity financing agreement with Auctus Private Equity Fund, LLC, a Boston based private equity fund focused on providing financing to middle market public companies.

Under the terms of the agreement, Auctus has committed to purchase up to $10 million of the Company's Class A common stock over a three year period. Although the Company is not obligated to draw on the equity financing facility, this agreement gives the Company the option to sell Auctus its Class A Common Shares at a per share purchase price at a 5% discount to the market price with certain provisions which may limit subsequent sales of the shares by Auctus depending on market conditions. The financing agreement is subject to the effectiveness of a registration statement being declared effective by the Securities and Exchange Commission with respect to the shares acquired by Auctus.

Commenting on the equity financing agreement, Bradley T.
