Ivernia Closes Previously Announced Financing

TORONTO, ONTARIO--(Marketwire - May 27, 2011) -

All dollar amounts in this release are expressed in Canadian Dollars

Ivernia Inc. (TSX:IVW) ("Ivernia" or the "Company") today announced that it has closed its previously announced financing with Green SEA Resources Inc. ("GSR"), pursuant to which GSR purchased 93,370,682 Ivernia common shares ("Common Shares"), at a price of $0.2142 per Common Share (the "Offering"). Under the terms of the Offering, GSR was paid a commitment fee of $1 million which was deducted from the gross proceeds of the Offering with the result that the Company received approximately $19 million in net proceeds. The Offering was completed by way of a non-brokered private placement.

The proceeds of the Offering will be used to strengthen Ivernia's financial position generally and specifically to provide working capital to fund Magellan Metals Pty Ltd., a wholly owned subsidiary of the Company, during the care and maintenance of the Magellan Mine including the end-to-end review process.

GSR is a private Canadian company wholly owned within the Sentient Group of Global Resource Funds.
