Ivernia Completes the Issue of US$5 Million in New Funding

Closes previously announced agreement with OppenheimerFunds, Inc.

TORONTO, ONTARIO--(Marketwire - April 2, 2009) -

Ivernia Inc. (TSX:IVW) ("Ivernia" or "the Company") announces that on April 1, 2009 it completed the issue of US$5 million principal amount of secured convertible notes ("Notes") to OppenheimerFunds, Inc. ("OppenheimerFunds") having the same terms described in the Company's press release dated March 20, 2009. To the best of the Company's knowledge, with the completion of this transaction and assuming full conversion of all Notes, OppenheimerFunds' share ownership in Ivernia will be approximately 62.0 million shares, or 12.5% of fully diluted outstanding common shares.

The completion of this transaction satisfies Ivernia's obligation to use its best efforts to sell new Notes to qualified investors and Sentient Global Resource Fund II has no further obligation under their previously announced commitment. As a result of this transaction, Sentient's ownership in Ivernia, assuming full conversion of all Notes has been reduced to 38.1% of fully diluted outstanding shares.

The Company may issue up to an additional US$5 million in Notes to other investors if there is sufficient demand. Commitments for additional Notes must be received no later than May 8, 2009.
