Key Capital Advises Notice of Reorganization

SANTA CLARA, CA -- (MARKET WIRE) -- March 14, 2005 -- Key Capital Corporation (OTC: KCAP) advises that shareholders of Key Capital Corporation, a Georgia corporation, owning a majority in interest of the stock of the Corporation without a formal shareholders meeting executed an Action Adopted By Written Consent of Shareholders Holding a Majority of the Issued and Outstanding Stock of Key Capital Corporation. This Notice is being provided pursuant to the Bylaws of the Corporation.

In the Action, the shareholder approved a one (1) for fifteen (15) reverse split of the shares of the Corporation and the Date of Record for this reverse split is to be for all shareholders of the Corporation as at 5:00 PM Eastern Time on March 29, 2005.

In a subsequent meeting of the Board of Directors, Messrs. Marshall Couper and Taylor Fogelquist were appointed to serve on the Board of Directors with Mr. Peter Boonen.

Further, the Company's business will be focused on transactional investment banking, financing and business and strategic advisory. The Company has entered into conditional agreement for its first transaction through which it will receive certain performance options for assisting in the raising of AUD$3.5million and providing strategic advice to an Australian public company in a transaction due for closing on April 4, 2005. The Company will advise further detail following expected completion of this financing.
