King & Spalding Advises TSYS in Joint Venture With First National Bank of Omaha


ATLANTA, GA--(Marketwire - March 2, 2010) - King & Spalding, a leading international law firm, advised Total System Services, Inc. (TSYS), an outsourced payment services company, in a joint venture agreement in which TSYS will purchase a 51 percent majority interest in First National Bank of Omaha's (FNBO) merchant acquiring business for $150.45 million.

FNBO is anticipated to contribute its merchant acquiring business through a series of structuring transactions to the newly formed Delaware limited liability company of First National Merchant Solutions, LLC (FNMS). FNBO and its affiliates will retain a 49 percent interest in FNMS Holding.
