MONTREAL, QUEBEC--(Marketwire - Feb. 20, 2009) - Komunik Corporation (the "Corporation") (TSX:KOM) is pleased to announce that it entered today into an agreement of purchase and sale (the "Transaction") that will see the Corporation's business and operations continue on a seamless basis for its stakeholders. The buying company (the "Purchaser") in a newly incorporated company established by an investment management company.
The Transaction has numerous benefits, including the hiring by the Purchaser of substantially all of the Corporation's employees. The Corporation's customers will continue to enjoy the Corporation's exemplary service and products without interruption in supply.
In certain specific circumstances, the Corporation may elect to accept any unsolicited offer and terminate the purchase agreement.
The Corporation's Board of Directors is of the view that the Transaction is in the best interest of the Corporation's stakeholders. More information about the Transaction can be obtained on SEDAR (www.sedar.com).
The Transaction is subject to the approval of the Superior Court of Quebec. The Corporation anticipates seeking Court approval of the Transaction during March, 2009.
