Lam Research Corporation Prices $1.0 Billion Senior Notes Offering

FREMONT, CA--(Marketwired - March 05, 2015) - Lam Research Corporation (NASDAQ: LRCX) today announced the pricing of $500 million aggregate principal amount of its 2.750% Senior Notes due 2020 (the "2020 Notes") and $500 million aggregate principal amount of its 3.800% Senior Notes due 2025 (the "2025 Notes" and, together with the 2020 Notes, the "Notes"). The offering is expected to close on March 12, 2015, subject to customary closing conditions.

The 2020 Notes will mature on March 15, 2020 and bear interest at an annual rate of 2.750%, and the 2025 Notes will mature on March 15, 2025 and bear interest at an annual rate of 3.800%.

Lam Research intends to use the net proceeds from the sale of the Notes for general corporate purposes, including working capital and capital expenditures. The company may also use a portion of the net proceeds for repayment of indebtedness, to acquire other businesses, products or technologies, or to repurchase shares of common stock under its stock repurchase program.

J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated are acting as joint book-running managers for the offering.
