Lateral Capital Corp. Completes First Tranche of Previously Announced Private Placement

CALGARY, ALBERTA--(Marketwired - April 17, 2014) -

Lateral Capital Corp. ("Lateral" or the "Company") (TSX VENTURE:LCP), further to its announcement on February 28, 2014, is pleased to announce that it has completed the first tranche of its previously announced non-brokered private placement of units ("Units") for total proceeds of $235,500. At closing Lateral issued 1,308,333 Units (comprised of 1,308,333 common shares of the Company ("Common Shares") and 1,308,333 Common Share purchase warrants ("Warrants")) at a price of $0.18 per Unit. Each Warrant is exercisable for one Common Share at a price of $0.18 per share prior to April 16, 2019.

The Common Shares and Warrants issued pursuant to the private placement are subject to a hold period that expires August 17, 2014. Following closing, Lateral has 52,744,907 Common Shares issued and outstanding.

The Company intends to use proceeds of the first tranche of the Unit private placement for working capital purposes and will continue to seek to complete the remainder of the private placement in the second quarter of 2014.
