Both Glass Lewis and ISS are independent proxy advisory firms that provide proxy voting and corporate governance advice to institutional investors around the world. Each of ISS and Glass Lewis have recommended that shareholders vote FOR all director nominees, FOR the appointment of Ernst & Young LLP as auditors and FOR the proposed shareholder rights plan.
