Lexaria Bioscience Announces Intention to Complete US$2,500,000 Brokered Private Placement

Lexaria Bioscience Corp. (OTCQB:LXRP)(CSE:LXX)(CSE:LXX.CN) (the "Company" or "Lexaria") is pleased to announce that it has entered into an agreement with Eight Capital as lead agent, on behalf of a syndicate of agents including Haywood Securities Inc. and Echelon Wealth Partners (collectively, the "Agents"), pursuant to which the Agents have agreed to offer for sale, on a "best efforts" private placement basis, units of the Company ("Units") at a price per Unit of US$0.42 (the "Offering Price"), for total gross proceeds of up to US$2,500,000 (the "Offering"). Subject to the receipt of all required regulatory approvals, each Unit shall consist of one common share of the Company (a "Share") and one-half of one Share purchase warrant (each whole Share purchase warrant, a "Warrant"). Each Warrant shall entitle the holder to acquire one Share at a price of US$0.60 per Share for a period of 24 months following the closing of the Offering.

The Company has granted the Agents an option to offer for sale up to an additional 20% of the Units at the Offering Price, exercisable in whole or in part, at any time on or prior to 48 hours prior to the closing of the Offering.

The net proceeds of the Offering will be used to fund the Company's research collaboration with National Research Council Canada; other Lexaria-developed R&D related to the delivery and bioavailability of cannabis, vitamins, NSAIDs and nicotine; and working capital and general corporate purposes.

The Offering is scheduled to close on or about March 28, 2017, and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals, including the approval of the Canadian Securities Exchange and the applicable securities regulatory authorities. All securities issued will be subject to a four month hold period in accordance with applicable Canadian securities laws, and will be "restricted securities" as defined under the securities law of the United States.
