Macusani Yellowcake Announces Proposed Changes to Director Nominations at AGM

TORONTO, ONTARIO--(Marketwired - March 25, 2014) - Macusani Yellowcake Inc. (the "Company") (TSX VENTURE:YEL)(FRANKFURT:QG1) has recently mailed and filed proxy materials in connection with its annual meeting to be held on April 7, 2014. The proxy materials contemplate the nomination of Alan Ferry, Peter Hooper, Laurence Stefan, J.P. Chauvin, Robert Boaz and Aaron Keay for election as directors at the annual meeting. Subsequent to the mailing and filing of the proxy materials, Mr. Hooper and Mr. Boaz have decided not to stand for re-election, and it is proposed that Mr. Richard Patricio and Mr. Marc Henderson be nominated for election at the meeting instead.

Mr. Patricio is Vice President Legal and Corporate Affairs at Pinetree Capital Ltd., a Toronto-based diversified investment, financial advisory and venture capital firm. Mr. Patricio is responsible for merger and acquisition activity, corporate transactions, compliance, corporate governance and the administration of Pinetree. Mr. Patricio currently holds directorships with several Canada-based resource companies. Mr. Patricio previously practiced law at a large Canadian law firm. Mr. Patricio received his law degree from Osgoode Hall and was called to the Ontario bar in 2000.

Mr. Henderson has more than 20 years of experience as Chief Executive Officer of junior public mining companies. Mr. Henderson is currently the President & Chief Executive Officer of Laraminde Resources Ltd., a Canadian public company engaged in the exploration and deveopment of uranium assets in the United States and Australia. Mr. Henderson previously served as President of Aquiline Resources Inc., which was developing the Navidad silver project in Argentina prior to being acquired by Pan American Silver in January 2010. He also previously served as President of MineFinders (1987 to 1994), responsible for acquiring the Delores property (Mexico), a silver/gold property now in production. Mr. Henderson is a Chartered Financial Analyst, and he holds an economics degree from the University of Colorado.

The form of management proxy previously distributed to registered shareholders in connection with the annual meeting provides management with discretionary authority to vote on amendments or variations to matters coming before the meeting and it is intended that all such proxies will be voted FOR the two new proposed director nominees. If a registered shareholder has submitted a management proxy and does not wish the proxy to be voted in this manner, they may revoke their proxy by personally attending the meeting and voting their shares or by depositing an instrument in writing, including a proxy bearing a later date, either at the office of the Company's transfer agent, TMX Equity Transfer Services, 200 University Avenue, Suite 300, Toronto, Ontario M5H 4H1 or the head office of the Corporation at Suite 1200, 141 Adelaide Street West, Toronto, Ontario M5H 3L5 at any time up to and including the last business day preceding the date of the meeting, or by depositing the instrument in writing with the Chairman on the day of the meeting, or in any other manner permitted by law. Only registered shareholders may revoke a proxy. Non-registered shareholders who wish to change their vote must, at least seven days before the meeting, arrange for their respective nominees to revoke the proxy on their behalf.
