Marina Biotech Announces Proposed Public Offering of Common Stock and Warrants


BOTHELL, WA--(Marketwire - February 9, 2011) - Marina Biotech, Inc. (NASDAQ: MRNA), a leading RNAi-based drug discovery and development company, today announced that it intends to offer and sell units consisting of shares of its common stock and warrants to purchase common stock in an underwritten public offering. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

Roth Capital Partners, LLC is acting as the sole manager for the offering.

Marina Biotech intends to use the proceeds from this offering for general corporate purposes (including working capital and operational purposes) and toward the clinical development of CEQ 508, which is currently in a Phase 1b/2a clinical trial for the treatment of Familial Adenomatous Polyposis (FAP).
