Matrix Funds Announces Security Holder Approval of Manager Change

TORONTO, ONTARIO--(Marketwired - Aug. 27, 2013) - GrowthWorks Enterprises Ltd. is pleased to announce that it has received all necessary shareholder approvals in connection with the proposed change of manager from GrowthWorks Enterprises Ltd. through its operating division, Matrix Funds Management, to Marquest Asset Management Inc. at the special meetings of shareholders held on August 27, 2013 for each of the following Matrix Corporate Class Funds: Matrix Short Term Income Fund (Corporate Class), Matrix Canadian Balanced Fund (Corporate Class), Matrix Monthly Pay Fund (Corporate Class), Matrix Dow Jones Canada High Dividend 50 Fund (Corporate Class), Matrix S&P/TSX Canadian Dividend Aristocrats Fund (Corporate Class), Matrix American Dividend Growth Fund (Corporate Class), Matrix Covered Call Banks Plus Fund (Corporate Class) and Matrix Canadian Resource Fund (Corporate Class).

GrowthWorks Enterprises Ltd. is pleased to announce that it has received all necessary unitholder approvals in connection with the proposed change of manager from GrowthWorks Enterprises Ltd. through its operating division, Matrix Funds Management, to Marquest Asset Management Inc. and the appointment of Marquest Asset Management Inc. as Trustee of each of the Matrix Trust Funds of at the special meetings of unitholders held on August 27, 2013 for each of the following Matrix Trust Funds: Matrix Money Market Fund, Matrix Canadian Bond Fund, Matrix Monthly Pay Fund, Matrix International Income Balanced Fund, Matrix International Balanced Fund, Matrix Tax Deferred Income Fund, Matrix Small Companies Fund and Matrix Canadian Resource Fund.

GrowthWorks Enterprises Ltd. is pleased to announce that it has received all necessary limited partner approvals in connection with the proposed change of manager from GrowthWorks Enterprises Ltd. through its operating division, Matrix Funds Management, to Marquest Asset Management Inc. at the special meeting of limited partners held on August 27, 2013 for announced that the special meeting of limited partners of Matrix 2012-I National & Quebec Resource Flow Through LP.

It is anticipated that the Marquest transaction to acquire Matrix Funds Management that was announced on June 04, 2013 will close in the near future. There can be no assurance that the Marquest transaction will close on the terms proposed or at all.
