MediSys Enters Into LOI to Acquire Nutritional Medical Centers, a Proprietary Wellness and Medical Weight Loss System for Men

PALM BEACH GARDENS, FL -- (MARKET WIRE) -- January 10, 2006 -- MediSys Corporation (OTC: MDYS) announced today that it has executed a Letter Of Intent to acquire Nutrition Medical Centers, Inc. (NMC), a medically based proprietary wellness and weight loss system designed by medical pioneer Dr. Marvin Reinberg.

Dr. Reinberg said, "It appears that the recent Glaxo and Pfizer ad campaigns focus on Men's Health and Wellness and their relationship to Erectile Dysfunction. Men's health is a hot topic right now, and the timing is perfect for the sale to MediSys. For years I've been saying men have had nowhere to go for professionally supervised weight loss, women have plenty of options with Jenny Craig, Weight Watchers and the like, but men are inadvertently neglected. We have the tried and proven answer that men have been seeking."

MediSys Corporation's Chief Executive Officer, Joshua Konigsberg, remarked, "If we capture just 1 percent of the target market for our new Weight Loss Module, we could realize $20 million in revenues and an additional $12 million in recurring licensing fees annually; hence, we are delighted by this acquisition. The Diet Industry generates approximately $44 billion in annual revenues; MDYS' projections of $20 million with $12 million in recurring revenues from this sector alone represents a mere .00072 percent of that market.

On November 16, 2005, MDYS announced it had entered into negotiations to acquire NMC, which was developed in the early 1980s by medical pioneer Dr. Marvin Reinberg, who also recently completed his fourth Board Certification in Family Medicine, a medical achievement less then one percent of family practitioners in the United States have accomplished. Dr. Reinberg has a Bachelor's Degree from City College of New York, a Doctorate in Dentistry from New York University, Post graduate year in Oral Surgery from Mount Sinai School Of Medicine and in just 3 years completed his MD Degree from Dalhousie University Medical School in Halifax, Nova Scotia. He designed NMC to assist his patients in achieving optimal wellness and health through the therapeutic application of diet, nutrition and exercise. The program was designed years before other popular weight loss programs such as the South Beach Diet and not only targets weight loss, but has been remarkably successful in the treatment of diabetes, hypertension, cardiac disease and many of the other leading causes of death in the United States. The diets are also in compliance with the recommendations of the American Cancer Society and American Heart Association. The program is easily adaptable for rapid and widespread implementation. Upon completing the acquisition MediSys plans on modernizing the technology and enhancing the program utilizing the expertise of both Dr. Reinberg and MediSys Medical Director Dr. Ralph Benson.
