Memorandum of Understanding - Marketing and licence agreement

                 Memorandum of Understanding ("MOU") - Marketing and licence agreement

Eden  Research  plc, a leading UK agrochemical and encapsulation development company,  is  pleased  to
announce that it has signed a MOU for both a marketing and licence agreement with TerpeneTech  Limited

The licence agreement will grant TerpeneTech the right to use Eden's terpene encapsulation system, for
specific applications initially, within the consumer and agro-industrial biocide areas. A licence  fee
of €100,000 will be payable to Eden, as well as on-going royalties on net sales of products.

The  marketing agreement will provide TerpeneTech with access to Eden's Geraniol, Eugenol  and  Thymol
dossiers  for use with existing and new un-encapsulated consumer and agro-industrial biocide products,
in return for royalties on net sales.

TerpeneTech  is  a  newly  formed 'partnership' which brings together a  number  of  parties  who  are
experienced in the Biocide products market:

Herb  Friend,  Director,  is  CEO  of  FASST Products LLC, an American  company  specializing  in  the
development,  manufacture,  marketing and distribution of safe, non-toxic, and  ecologically  friendly
insect  repellent  products based on Geraniol, one of the terpenes used by Eden in its  own  range  of

Jean  Biron,  Director,  is  an  independent consultant who has specialized  in  the  development  and
commercialization of insecticides and insect repellants for a number of years, acting for national and
multi-national companies throughout the World.

Clive  Newitt,  Managing  Director of Eden, has also been appointed as a director  of  TerpeneTech  to
provide both technical and marketing support.

TerpeneTech  will  act  as  the conduit to several other well established and,  principally  European,
distributors of a significant range of existing products in this field.

Eden  will  now  progress  entering into a full licence agreement with  TerpeneTech  and  will  update
shareholders accordingly.

Clive  Newitt, Managing Director of Eden, said, "Biocides is another area outside of Eden's  original,
core  focus  of  agrochemicals which will benefit from the encapsulation system with  the  synergistic
blends of terpenes.

This  is another example where the improvements provided by the encapsulation system to products  that
are  already  being  sold  should  mean a quick route to market and royalties  for  Eden  due  to  the
significantly  less onerous regulatory hurdles required to register improvements to  biocide  products
both within and outside of the EU."

Herb  Friend,  director  of TerpeneTech Limited, said, "We're very excited about  the  potential  that
Eden's  encapsulation system will bring to the biocide market and are looking forward to working  with
Eden to commercialize our products using both encapsulated and un-encapsulated terpenes.

Jean  Biron,  director of TerpeneTech Limited, said, "Our experience has already  shown  us  just  how
effective  un-encapsulated terpenes can be in the biocide area. With the addition of the encapsulation
system,  we  should  be  able  to make considerable improvements which will  give  us  a   significant
competitive advantage in the market".

Terpenes  are  natural  compounds which function as defence mechanisms in many plant  groups  and  are
