Mesa Exploration Announces Non-Brokered Private Placement

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Feb. 28, 2012) - Mesa Exploration Corp. (TSX VENTURE:MSA)(PINKSHEETS:MSAJF) ("Mesa" or the "Company") is pleased to announce a non-brokered private placement (the "Offering") of up to 1,200,000 units (the "Units") at a price of $0.50 per Unit for gross proceeds of up to $600,000. Each Unit will consist of one common share (a "Share") in the capital of Mesa and one non-transferable common share purchase warrant (a "Warrant"). Each whole Warrant will entitle the holder thereof to purchase one additional common share (a "Warrant Share") in the capital of Mesa at a price of $0.75 per Warrant Share. The securities issued under the Offering will be subject to a four month hold period under applicable Canadian securities laws. The Offering is subject to TSX Venture Exchange approval.

Proceeds from the Offering will be used to advance Mesa's exploration projects and for general working capital.
