TORONTO, ONTARIO--(Marketwire - April 20, 2011) - Mignonne Spiegelman announces, pursuant to an order of the Ontario Superior Court of Justice (the "Court"), she has acquired joint voting control over 2,567,500 common shares of Telehop Communications Inc. ("Telehop") owned by the Estate of Hersh Spiegelman (1,097,500) and the Spigelman Family Trust (1,470,000) (the "Hersh Spiegelman Shares"), representing approximately 19.2% of the total issued common shares of Telehop.
The Court ordered the Estate Trustee During Litigation and the trustees of the Spigelman Family Trust to vote the Hersh Spiegelman Shares at the annual and special meeting of Telehop shareholders scheduled for May 25, 2011 (the "AGM") either as directed by the Court or upon an unanimous written consent of Mignonne Spiegelman and the Children's Lawyer of Ontario.
Combined with the Telehop common shares previously owned and controlled, Ms. Spiegelman and joint actors now own and control a total of 4,256,580 common shares, representing approximately 31.8% of the total issued common shares of Telehop.
Ms. Spiegelman, together with the with the Children's Lawyer of Ontario, acquired joint voting control of the Hersh Spiegelman Shares to ensure that such shares are voted at the AGM and the rights of the beneficiaries of the Estate of Hersh Spiegelman and the Spigelman Family Trust are not unfairly disregarded at the AGM.
Ms. Spiegelman may, in the future, acquire voting control over additional securities of Telehop.
