MIS Group Acquires CreativeWare and Texas State Construction Systems

Acquisitions Broaden MIS Group's Reach and Continue Aggressive Growth Strategy

DALLAS, TX -- (MARKET WIRE) -- December 5, 2006 -- MIS Group, a premier provider of business management software and services, announced today the acquisition of two Sage Million Dollar Circle Business Partners, CreativeWare based in Phoenix, Arizona and Texas State Construction Systems (TSCS) based in Houston, Texas. These acquisitions coupled with MIS Group's recent merger with ERG solidify MIS Group's position as a leading Sage Software Business Partner. Both CreativeWare and TSCS specialize in the Sage Timberline Office product.

"The addition of CreativeWare and TSCS furthers our commitment to customers and partners," said MIS Group CEO Robert Muir. "Both firms come with significant marketing expertise, which we plan to leverage. We are also excited to extend our coverage in South Texas and create a new presence in Arizona, Nevada and New Mexico."

CreativeWare President Craig McClure appreciates MIS Group's commitment to outstanding customer service, and the MIS Group mantra, "Creating Confidence in Technology," has strong appeal for the CreativeWare customer base. "In all my meetings with MIS Group officers, it became obvious that we shared a commitment in taking care of our customers," said McClure. "By joining forces, I know we can do a much better job of that than CreativeWare could have done alone."

TSCS President Bob Griffith concurs. "We were already utilizing MIS Group's IT team to handle the technology and infrastructure needs of our customers. Now our customers will enjoy the additional consulting and training depth that MIS Group offers. We are particularly excited about expanding our focus on the Sage Timberline Office vertical for custom and production home builders with the BuilderMT product."

"MIS Group is building a differentiated organization that will support their long-term growth and contribute to the success of their customers," said Taylor Macdonald, Executive Vice President, Channel and Sales Operations at Sage Software. "Their long history implementing Sage Software products will serve our mutual customers well."

With these acquisitions, MIS Group's projected 2006 revenues are $26 million. With over 160 employees, MIS Group is the Sage Reseller of Record for more than 3,000 customers. Both McClure and Griffith, as well as their teams, will join MIS Group. A complete transition to the MIS Group brand will be completed by January 1, 2007.
