Municipal Solutions Group, Inc. Announces Shareholders' Vote Relating to Transaction With N. Harris Computer Corporation

VICTORIA, BRITISH COLUMBIA--(Marketwire - July 14, 2008) - Municipal Solutions Group, Inc. (TSX VENTURE:MSZ) ("Municipal" or the "Company") announces that its shareholders have voted to approve the transaction previously announced on June 3, 2008 (the "Transaction") which, if completed, will result in the sale of substantially all of the assets of Municipal to N. Harris Computer Corporation ("Harris") pursuant to a share purchase agreement and an asset purchase agreement with Harris, a wholly owned subsidiary of Constellation Software Inc. (TSX:CSU).

At the annual and extraordinary meeting of the shareholders of Municipal held earlier today, KPMG LLP was reappointed as auditors of the Company and the following persons were elected as directors of the Company: Kelly Edmison, John Jacobson, Ian Power, David Roberts and Divesh Sisodraker.

In addition to the appointment of the auditors and the election of directors, shareholders were asked to approve a number of matters relating to the Transaction, all of which were approved by the requisite majorities. The specific approvals and the percentage of votes cast for these matters at the meeting were as follows:

(a) The Transaction - 99.99% of the votes cast at the meeting were cast in favor of the resolution.

(b) Amendments to Municipal's Articles to facilitate shareholders choosing Option 1 or Option 2 (as described below) - 99.46% of the votes cast at the meeting were cast in favor of the resolution.

(c) Change of Name from "Municipal Solutions Group, Inc." to "CloudBench Applications, Inc." - 98.80% of the votes cast at the meeting were cast in favor of the resolution.

(d) Repricing of Debentures - 75.78% of the votes cast at the meeting by disinterested shareholders were cast in favor of the resolution.

Completion of all of these transactions is subject to a number of conditions, including receipt of all necessary stock exchange and regulatory approvals. Municipal currently expects that the closing of the Transaction to occur on or about July 17, 2008.

Following the completion of the Transaction, Municipal plans to change its name from "Municipal Solutions Group, Inc." to "CloudBench Applications, Inc." and following such name change the company's shares will continue to trade on the TSX Venture Exchange, under the trading symbol "CBH".

As part of the Transaction, shareholders were asked to make an election with respect to two options (Option 1 and Option 2) by no later than today. Shareholders who elected Option 1 will have their shares redeemed and will be issued subscription receipts, which will entitle them to receive their pro rata portion of any amounts paid to Municipal following the closing of the Transaction as a result of the release of held back portions of the purchase price. Shareholders who elected Option 2 will receive a return of capital and will continue to hold their Municipal shares.
