Mr. Nabil Bader (the "Offeror") announced that he exercises control or direction directly or indirectly over common shares (the "Shares") of Mint Technology Corp. (TSX VENTURE:MIT) (the "Reporting Issuer"). The details of the Offeror's ownership in the Reporting Issuer are as follows:

  • Prior to March 21, 2012 the Offeror had control or direction over 24,830,285 Shares of the Reporting Issuer, representing approximately 13.2% of the outstanding Shares of the Reporting Issuer. The Offeror also controlled 1,650,000 stock options (the "Stock Options") and 14,216,000 warrants (the "Warrants") of the Reporting Issuer.

  • Effective March 21, 2012 the Offeror acquired indirect control over 1,598,405 Shares at $0.12 CAD through Strategic Alliance FZE, a company controlled by the Offeror, and direct control over 1,744,695 Shares at $0.18 CAD for an aggregate 3,343,100 Shares of the Reporting Issuer, which represents an additional 1.8% of the issued and outstanding Shares of the Reporting Issuer.

  • Effective March 21, 2012 the Offeror sold 1,093,750 Shares of the Reporting Issuer held through the Offeror's direct holdings at a price of $0.18 CAD per Share, 5,357,142 Shares of the Reporting Issuer, held through Strategic Alliance FZE, at a price of $0.17 CAD per Share and 916,667 Shares held through the Offeror's direct holdings at a price of $0.12 CAD per share.

  • Following the March 21, 2012 transactions, the Offeror controls directly an aggregate 20,805,826 Shares of the Reporting Issuer, representing approximately 11% of the issued and outstanding Shares of the Reporting Issuer. On a partially diluted basis, including the Options and Warrants controlled directly by the Offeror, the Offeror controls approximately 19.5% of the securities of the Reporting Issuer.

The Shares of the Reporting Issuer are held for investment purposes. The Offeror may, depending on market and other conditions, increase or decrease his beneficial ownership of securities of the Reporting Issuer, whether in the open market, by privately negotiated agreements or otherwise, subject to a number of factors, including general market conditions and other available investment and business opportunities.
