Next Edge Capital Corp. Provides Update on Upcoming Special Meeting of Unitholders


TORONTO, ONTARIO--(Marketwired - Dec. 2, 2014) - Next Edge Capital Corp. ("Next Edge"), the manager of the Next Edge GLG Emerging Markets Income Fund (TSX:EMY.UN) ("Emerging Markets Fund") and Next Edge GLG EM Income Fund ("EM Income Fund" and together with the Emerging Markets Fund, the "Funds"), is pleased to announce that Next Edge Theta Yield Fund ("Theta Fund"), the open-ended mutual fund into which, subject to unitholder and regulatory approval, the Funds are expected to merge, has filed is final documents. The final prospectus, annual information form and fund facts of Theta Fund are available on www.sedar.com.

The special meeting of the unitholders of the Funds (the "Meeting") to consider and approve the merger of the Funds will be held on December 3, 2014. Based on the number of proxies received to date, Next Edge does not anticipate that the required quorum for the Meeting will be met. In the event that a quorum is not present within one half-hour after the time fixed for the holding of the Meeting, the Meeting shall stand adjourned to December 17, 2014 at 11:00 a.m. The notice and management information circular which includes details of the matters to be considered at the Meeting has been mailed to unitholders and is available on www.sedar.com.

If approved, Next Edge expects that the merger will be implemented on or about December 18, 2014. Upon completion of the merger, unitholders of the Funds will receive units of Theta Fund. Holders of Class A Units of Emerging Markets Fund will receive Class A1 Units of Theta Fund, holders of Class F Units of Emerging Markets Fund will receive Class F1 Units of Theta Fund, holders of Class L Units and Class N Units of EM Fund will receive Class A1 Units of Theta Fund and holders of Class M Units and Class O Units of EM Fund will receive Class F1 Units of Theta Fund. A management fee of 1.00% is payable on Class A1 Units and no management fee is payable on the Class F1 Units. A servicing fee of 1.00% is payable out of the management fee on Class A1 Units of Theta Fund to dealers whose clients hold Class A1 Units. No servicing fee is payable in respect of Class F1 Units of the Theta Fund.
