Nurun Inc. Signs Letter of Intent to Acquire China Interactive

MONTREAL, QUEBEC--(CCNMatthews - Sept. 28, 2005) - Nurun Inc. ("Nurun") (TSX:NUR), a subsidiary of Quebecor Media Inc., and China Interactive, a privately owned corporation based in Shanghai, announce that they have signed a binding letter of intent whereby Nurun would acquire China Interactive. With a staff of 30, China Interactive is one of China's leading interactive marketing agencies, providing global and local blue-chip clients such as FAW-VW-Volkswagen, FAW-VW-Audi, Standard Chartered Bank, Chivas Regal, Pepsi, L'Oreal, among others, with services ranging from integrated marketing communications strategies to Web development and online loyalty programs.

The closing of the transaction is subject to customary conditions including a due diligence review, and the execution of definitive agreements. Nurun will pay a combination of cash and common shares of Nurun, and deferred payments of cash and common shares of Nurun, subject to certain adjustments linked to the performance of China Interactive. Both parties expect to close this transaction before the end of 2005.
