Nyah Resources' Shareholders Approve Amalgamation With Carlaw Capital

TORONTO, ONTARIO--(Marketwire - Dec. 11, 2007) - Nyah Resources Inc. ("Nyah" or the "Company") is pleased to announce that its shareholders have approved the proposed amalgamation of Nyah and a subsidiary of Carlaw Capital Corp. (TSX VENTURE:CLW.P) ("Carlaw"). Carlaw is a Capital Pool Company listed on TSX Venture Exchange under the symbol "CLW.P".

At a shareholders' meeting held on December 10, 2007, shareholders representing approximately 25% of the issued and outstanding common shares of the Company voted unanimously in support of the proposed amalgamation.

Pursuant to the proposed amalgamation, each common share of Nyah will be exchanged for one Carlaw common share. As a result, an aggregate of 50,664,563 Carlaw Common Shares are expected to be outstanding following the completion of the amalgamation. It is anticipated that the resulting public company will be a Tier I Issuer Listed on the TSX Venture Exchange and that Carlaw will change its name to Nyah Resources Inc.

Nyah is a private company incorporated under the laws of the Province of Ontario. There is no individual who directly or indirectly beneficially holds a controlling interest in or who otherwise controls or directs Nyah based on their shareholdings.

Nyah holds a 100% interest in the Agnew Lake Uranium Property, consisting of seven unpatented mining claims (3,080 acres) located in Hyman and Porter Townships, approximately 40 kilometers west of Sudbury, Ontario. The Property encompasses the past producing Agnew Lake Uranium Mine.
