Oakwest Corporation Limited Announces Participation in KidsFutures Inc. Financing

TORONTO, ONTARIO--(CCNMatthews - March 12, 2007) - KidsFutures Inc. (TSX VENTURE:FUT) (the "Company") today announced that Oakwest Corporation Limited ("Oakwest") participated in the recent private placement announced by the Company. Oakwest purchased 13,169,583 units in the financing (the "Units"). Each Unit was issued at $0.12 consisting of one common share in the capital of the Company (the "Common Shares") and one-half warrant (the "Warrants"), each whole Warrant entitling the holder thereof to acquire one Common Share at any time up until eighteen months from the closing date at an exercise price of $0.20. The Common Shares and Warrants comprising the Units are subject to restrictions on resale until at least June 17, 2007 as prescribed under applicable securities laws and the policies of the TSX Venture Exchange.

Prior to the completion of the private placement, Oakwest held 1,882,269 Common Shares of the Company, 307,693 warrants to purchase Common Shares at an exercise price of $0.65 per Common Share and a debenture in the principal amount of $622,000 that was repaid out of the proceeds of this private placement. Oakwest now holds 15,055,852 Common Shares and 6,892,484 common share purchase warrants. In the event that Oakwest exercised all of its warrants, it would hold in the aggregate, 22,140,643 Common Shares representing approximately 22% of the issued and outstanding Common Shares of the Company (assuming no other securities convertible into Common Shares of the Company were converted or exercised). Notwithstanding the foregoing, Oakwest has entered into a standstill agreement with the Company wherein Oakwest has agreed not to exercise any warrants held by it if such exercise would result Oakwest holding more than 20% of the issued and outstanding Common Shares of the Company until receipt of shareholder approval allowing Oakwest to exceed the 20% threshold.

Oakwest purchased the Units for investment purposes and may acquire further securities of the Company depending on market conditions and other relevant factors.

An early warning report in respect of the above noted transaction will be filed on SEDAR. A copy of this report and further information can be obtained from:
