OPC Announces Non-brokered Convertible Debenture Offering


TORONTO, ONTARIO--(Marketwire - May 18, 2012) - Organic Potash Corporation (CNSX:GOP) ("OPC" or the "Corporation") announced today a non-brokered convertible debenture private placement, to raise gross proceeds of up to CDN$1.5 million on a best efforts basis. The convertible secured debentures, will bear interest at 10% per annum payable semi-annually (the "Debentures") and will close in rolling tranches. The Debentures will mature three years from the date of the advance (the "Maturity Date").

The Debenture proceeds shall be used to complete the Corporation's K2 prototype plant and general corporate purposes. The final tranche closing date is scheduled for on or before July 9, 2012 (the "Closing Date"), and is subject to certain customary conditions and regulatory approvals, including the approval of the CNSX.
